Terms and Conditions of Usage and Sale

The provisions of these Terms and Conditions of Sale ("Terms") shall govern any proposed or actual transaction between Mayberry Holdings Ltd. (o/a Mayberry Fine Art / Bid Lots) ("MFA") and the prospective buyer ("Buyer") or bidder ("Bidder"). MFA is acting as agent for themselves or for the person, artist, organization who has consigned the property to MFA for sale, whether as principal, owner or agent ("Consignor").

These Terms apply to all bids and sales which result from any activity conducted by the Bidder on the domains mayberryfineart.com, bidlots.com, and any other domains operated by MFA, as well as any bids or requests made in person, over the phone, or by digital communication with any agent acting on behalf of MFA. MFA may be representing other sellers, agents or organizations in these transactions.

  1. The Bidder understands that all bids placed are considered to be a binding agreement to purchase if it is the highest bid recorded when the sale ends. All purchases are subject to the terms and conditions laid forth in this agreement. The Bidder acknowledges that all submitted bids are final and binding. The Bidder accepts that individual bids and/or max bids cannot be removed, withdrawn, or cancelled under any circumstance and that the Bidder carries full responsibility for each bid submitted and each resulting purchase. All activity conducted through any MFA platform or with any MFA representative is binding.

  2. Items in auction are made available for bidding during a pre-determined and published time frame. All bids, offers, or requests must be submitted within this designated time window, except for items offered at a set retail price where no published time limit applies. MFA reserves the right, at its sole discretion, to extend the time frame for bidding while bidding or user activity is present on any item. By way of illustration but not limitation, if a bid is received in the final minutes of the allotted timeframe for bidding, MFA may add additional minutes to the bidding time frame to allow other bidders a reasonable opportunity to continue participation. Such extensions shall be binding on all Bidders, whether or not they acknowledge or receive notification of such extensions.

  3. The descriptions of items offered by MFA ("Property"), including artist, title, medium, size, date of execution, provenance, exhibition history, inclusion/reproduction within literature sources, attribution and genuineness, are subject to change leading to the final sale of said Property (including the process during which bidding is active for the Property during MFA online auctions or sales). Descriptions of Property provided by MFA are not meant to stand as a representation to Bidders and no guarantee or warranty of complete accuracy of the provided descriptions is intended or should be assumed. Bidders are provided the opportunity to view and inspect all Property offered for sale by MFA through public and/or pre-arranged private viewings prior to a sale’s completion. No sale shall be rescinded due to a lack of correspondence between the provided description of the Property by MFA and the Property itself, including the illustration of the Property provided by MFA. It is the sole responsibility of a Bidder to make arrangements for the inspection of the Property of interest (by the Bidder itself and/ or by the Bidder’s advisers) prior to sale, and to bid in accordance to this actual inspection and/or reliance upon their advisers’ guidance.

  4. The Bidder who has successfully bid on Property (the "Successful Bidder") confirms that any claims relating thereto shall be claims against Consignor, without recourse to MFA. MFA represents the Consignor exclusively and makes no representation or warranty, express or implied, regarding legal title or ownership of the Property offered by MFA and has relied upon the Consignor confirming same to MFA, without further independent investigation. The Bidder shall be solely responsible for satisfying itself of the legal title or ownership of the Property and liens or encumbrances affecting same and the capacity of the Consignor to sell the Property offered.

    However, notwithstanding the stipulations listed above, the Successful Bidder may make arrangements for a recognized and fully-qualified authority, who is accepted by MFA, to inspect the Property prior to collection by the Successful Bidder from MFA’s premises. Should this authority submit in writing to MFA a statement regarding the challenge of genuineness and/or authenticity of the lot in question, the sale can be rescinded by MFA and a full refund will be provided to the Successful Bidder. The above process must take place within seven days of the final sale of the Property.

  5. MFA is pleased to offer a service of providing condition reports on the lots which are offered through its auctions. Please note that these reports are matters of opinion and are prepared by MFA specialists and are not a substitute for a physical inspection of the artwork by the Bidder or their advisors. MFA specialists are not trained restorers and the provided condition reports are not meant to equal a comprehensive report created by a professional restorer. The reports provided by MFA are meant to provide assistance to the Bidder through observations of the artwork and the report will not disclose any imperfections which might be revealed through the process of subsequent restoration. In all cases, the Bidder is advised to consult their own conservator for a complete report with regard to condition (MFA is happy to provide access to the artwork by conservators through public previews and private pre-arranged appointments). Bidders should be aware that MFA’s warranties with regard to the Property offered through their auctions or sales are limited to the terms listed in the Terms and Conditions of Sale and in no case extend to the condition of the artwork.

  6. A buyer's premium will be charged on all purchases and is to be paid by the Buyer to MFA as part of the purchase price. The applicable buyer's premium rate may vary per sale and will be defined by the auctioneer prior to each sale. If no specific buyer's premium rate is listed for a particular sale, a default rate of 20% of the successful bid price or purchase price shall apply. The buyer's premium is calculated on the hammer price or purchase price and is subject to all applicable taxes.

  7. A 5% GST (Goods & Services Tax) and 7% PST (Provincial Sales Tax) is applied to the successful bid (hammer) price and buyer’s premium as well as any additional shipping or services fees. However, GST & PST will not be charged on purchased Property which is shipped outside of Canada. Where purchased Property is shipped outside of the Province of Manitoba but within Canada, the applicable HST or GST will be charged based on the tax applications within the province or territory of destination including if shipped to MFA in Toronto for pickup. In both cases, the Property must be collected from the offices of MFA with a waybill provided indicating the destination. It is the sole responsibility of the Buyer to provide acceptable details and make the necessary arrangements to meet the requirements for altered tax responsibilities based on the destination of the shipped Property. Alterations of invoices and/or crediting of tax payments will not be completed once MFA has released the Property.

  8. The Bidder acknowledges that MFA may collect a commission and associated fees through its agreement with the Consignor of an item included in a MFA auction or sale.

  9. Purchases completed through MFA are not represented to necessarily include copyright allowances to the Successful Bidder for the purchased Property.

  10. MFA reserves the right to withdraw any Property from sale for any reason whatsoever and without liability. This withdrawal may occur up to the close of bidding for the Property. MFA also reserves the right to divide lots of Property into smaller lots or to combine individual lots of Property into larger lots. The above can be carried out at the sole discretion of MFA and can occur without notice.

  11. Each Bidder must register with MFA, agreeing to the Terms and Conditions of Sale. Registered Bidders represent that they are bidding on their own behalf and are responsible for those lots in which they are the successful high bidder (becoming the Buyer or Successful Bidder). In the event that a registered Bidder is representing another party, MFA must be contacted regarding this arrangement at least twenty-four hours prior to the opening of bidding for a particular auction and MFA reserves the right to refuse this arrangement for any reason whatsoever. Failure to abide by this provision shall entitle MFA to deem the Bidder as bidding on its own behalf. Splitting of and/or transferring of an invoice to an individual and/or organization other than the registered Bidder can only be completed at the discretion of MFA and must meet the requirements of such an amendment, including written authorization from both the registered Bidder and its beneficial buyer and the individual or representative of the individual who will become the new invoiced client in such an arrangement.

  12. MFA reserves the right to refuse any bid and/or bidding registration application at their absolute discretion. Further, MFA also reserves the right to suspend or cancel any account used for bidding at their sole and absolute discretion. MFA also reserves the right to refuse any bid which is not in relation to the provided pre-sale auction estimate provided by MFA and also reserves the right to not accept a bid recognized to not fall within the set bidding increments during sale. Additionally, MFA reserves the right to accept any bid which does not meet any pre-established reserve. In no instance may a Bidder withdraw or alter their submitted bid.

  13. MFA reserves the right to accept and execute absentee or telephone bids on behalf of prospective purchasers, unable to directly participate in the particular auction. In such a case, MFA provides the service of absentee or telephone bidding as a privilege and shall not be responsible for failure to execute the absentee bid(s) for any reason whatsoever and shall also not be responsible for errors and/or omissions related to the process. Bidders who wish to employ MFA in the process of absentee or telephone bidding must complete and sign the required documentation (absentee/ telephone bidding form) prior to the start of bidding for the particular auction. In the event that two identical absentee bids are submitted to MFA, the bid which is received earlier (and which has been submitted through a completed and signed absentee bidding form or communicated in good faith to an agent of MFA) will take precedence over the later bid(s), allowing the earlier submitted bid(s) to potentially purchase the lot(s) at bid level submitted.

  14. At the completion of the sale, the Successful Bidder shall be recognized as the Buyer and shall then take on complete responsibility and risk for the purchased Property, adhering to all of the Terms and Conditions of Sale. In the event of a dispute between the Successful Bidder and any other Bidder regarding the result of the auction, MFA will have absolute discretion to rescind any transaction with the Successful Bidder and designate a new winning buyer or to withdraw the Property from the auction. In such a case, MFA may choose to re-offer the Property in a future auction or private sale. In all such cases, final decision shall be made solely by MFA.

  15. For all purchases, including auction and direct sales, full payment must be made within 5 business days following the close of sale, unless alternative arrangements have been agreed upon in writing by MFA. MFA reserves the right to automatically charge the provided credit card details for the full amount immediately following any sale or at MFA's discretion, a 10% deposit (up to a maximum of $10,000.00) may be charged to the Buyer's registered credit card. If full payment is not received within 5 business days and no alternative arrangements have been agreed upon, MFA will charge the provided credit card for any outstanding balance.

  16. All purchased items must be picked up or shipping arrangements confirmed within 7 business days of purchase. No item will be released, shipped, or made available for pickup until payment has been received in full. Failure to collect or make shipping arrangements within 7 days may result in interest charges of 1.5% per month and/or storage fees based on the size of the item, at MFA's discretion and will be automatically charged to the Buyer's registered credit card.

  17. In the event that a Buyer fails to collect purchased items or make storage arrangements within 30 days following the sale, MFA shall have the right to rescind the sale and retain all payments made as liquidated damages. Any deposit or partial payment received shall be forfeited, and MFA reserves the right to suspend and/or delete the Buyer's account and/or their representatives' accounts, at the sole discretion of MFA.

  18. MFA, its employees, agents, or representatives shall not be liable for any loss of or damage to any Property purchased through MFA (whether through negligence or otherwise) while the Property remains in the possession, custody, or control of MFA or during any period while the Property is being delivered, shipped, or transferred to the Buyer by MFA or by any agent or carrier engaged by either MFA or the Buyer directly. MFA may, at its sole discretion but without obligation, extend insurance coverage on items while they remain in the possession of MFA or during transit, subject to the specific conditions, limitations, and exclusions of MFA's insurance coverage at the time. Notwithstanding the foregoing, if the Buyer has any applicable insurance coverage under which the Property is covered in whole or in part, such Buyer's insurance coverage shall take precedence over any discretionary coverage provided by MFA, regardless of the comparative terms, conditions, or extent of either insurance policy. The Buyer acknowledges and agrees that MFA's maximum liability for any claim shall not exceed the purchase price paid for the Property less any cost or expenses incurred by MFA as a result of any insurance claim.

  19. In any event resulting in failure by the Successful Bidder (Buyer) to pay for Property purchased either through the defined auction process or a direct sale within the 5 day period following the sale, MFA, in its sole discretion, may re-offer the Property in question without limiting the terms in place with the Consignor of the Property. Should MFA reoffer the Property, the original Successful Bidder (Buyer) shall be responsible to MFA and the Consignor for the following: any difference marked as a deficiency between the price achieved and amount invoiced upon the re-sale of the Property versus the price achieved and amount invoiced to the Buyer upon the original sale of the Property; any storage charges to MFA for the holding of the Property between its original offering and the reoffering; and the total in sales commissions which MFA would have collected had the original sale of the Property been completed.

  20. MFA accepts payment by cash, certified cheque, wire transfer, VISA, Mastercard and/or American Express (AMEX) for the settlement of invoices. Credit card purchases are limited to a maximum of $25,000 CAD and the credit card holder must be present at the time of payment or have created and maintained a validated payment profile with MFA. Artwork purchased with a certified cheque will not be released by MFA until the clearance of the cheque has been confirmed by MFA’s bank. Payments arranged by wire transfer may be subject to administrative charges related to the transfer and banking processes.

  21. MFA is pleased to assist clients in arranging for the shipment of their artwork from our Winnipeg premises. However, it is the responsibility of the Successful Bidder to make these arrangements in full, including the packing, insuring and actual shipment of the Property. Assistance provided by MFA in this regard is provided as a service and MFA carries absolutely no liability through this courtesy. MFA carries absolutely no liability to possible damage of framing (including glass) during shipment arranged by MFA or otherwise.

  22. Without limitation, the Buyer accepts that any lot (Property) purchased through MFA may be subject to provisions of the Cultural Property Export and Import Act (Canada).

  23. MFA reserves the right to refuse admission, enrolment and/or participation in any of their events and/or auctions. Further, MFA reserves the right to refuse admission to their premises to any individual or group of individuals.

  24. These Terms and Conditions of Sale and all agreements related to the business of MFA shall be construed under the laws of Manitoba and the parties hereby attorn to the exclusive jurisdiction of the Manitoba Courts.

  25. This agreement may be executed and delivered in a number of counterparts, each of which when executed and delivered is an original but all of which taken together constitute, as applicable, one and the same instrument.
